These Terms govern the relationship between Wheree and businesses that create, manage, or promote business listings on the platform. Please read carefully before using the platform as a business.

Introduction & Acceptance of Terms

These Terms of Service govern the use of the Wheree platform operated by WEBIFY GLOBAL PTE. LTD., a company incorporated under the laws of Singapore ("Wheree", "we", "us", or "our").

By creating a business account, claiming a business listing, or otherwise using the platform as a business, you agree to be bound by these Terms.

These Terms govern the relationship between Wheree and businesses that create, manage, or promote business listings on the platform.

By using the platform, you confirm that you have the authority to act on behalf of the business you represent and to bind such business to these Terms.

These Terms should be read together with any additional policies referenced herein, including but not limited to the Claim & Business Verification Policy and the Privacy Policy. In the event of any inconsistency between these Terms and other platform policies, these Terms shall prevail to the extent permitted by applicable law.

Eligibility & Business Accounts

2.1 Business Eligibility

To use the Wheree platform as a business, you must be a legally established business entity or otherwise legally authorized to operate the relevant business in your jurisdiction.

By creating or managing a business account or business listing on the platform, you confirm that the business is operating in compliance with applicable laws and regulations.

2.2 Authorized Representative

If you create, access, claim, or manage a business account or business listing on the platform, you represent and warrant that you are duly authorized to act on behalf of that business and to bind it to these Terms.

Wheree may request proof of authorization or additional information to confirm your authority to manage a business listing.

2.3 Accuracy of Information

Businesses must provide accurate, complete, and up-to-date information when registering an account, claiming a listing, submitting verification documents, or updating business information on the platform.

Businesses are responsible for ensuring that all information associated with their business account and listings remains accurate and current.

2.4 Verification and Account Responsibility

Wheree may require businesses to provide supporting documents or additional information to verify their identity, authority, or connection to a business listing.

Businesses are responsible for maintaining the security and confidentiality of their account credentials and for all activities conducted through their business account.

Wheree reserves the right to suspend, restrict, or refuse access to any business account or listing where the provided information is inaccurate, incomplete, misleading, unverifiable, or otherwise inconsistent with these Terms or applicable policies.

Business Listing

3.1 Creation and Presence of Listings

Wheree allows businesses to create, claim, and manage business listings on the platform in order to provide information about their products, services, or locations to users.

Listings may be created by businesses directly or may already exist on the platform based on publicly available information or user contributions.

Business listings form part of the Wheree platform's information ecosystem. Claiming or managing a listing does not grant businesses ownership of the listing within the platform.

3.2 Claiming and Managing Listings

Businesses or their authorized representatives may request administrative control of a listing associated with their business.

All listing claims are subject to the Claim & Business Verification Policy, which sets out the procedures and requirements for verifying the claimant's connection to the business.

Wheree reserves the right to approve or reject any listing claim in accordance with applicable policies.

3.3 Accuracy of Listing Information

Businesses must ensure that information contained in their business listings remains accurate and up to date, in accordance with Section 2.3 of these Terms.

Where there are changes to business operations, contact details, or other relevant information, businesses must update their listings promptly.

3.4 Platform Role and Listing Management

Wheree provides the platform as an intermediary service that enables businesses to present information to users.

Wheree does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any business listing, business information, or other content displayed on the platform.

Wheree may modify, reorganize, or update business listings where reasonably necessary to maintain the accuracy, consistency, or integrity of the platform. This may include adjusting listing categories, formatting, or other non-material listing information to improve platform organization and user experience.

3.5 Platform Moderation

Wheree reserves the right to review, modify, suspend, or remove any business listing that violates these Terms, applicable policies, or applicable laws.

Wheree may also take such actions where listing information is misleading, inaccurate, unverifiable, or otherwise deemed inappropriate for the platform.

Free Listing and Paid Promotion

4.1 Free Business Listing

Wheree allows businesses to maintain a basic business listing on the platform free of charge, subject to compliance with these Terms and applicable policies.

Free listings enable businesses to provide general information about their business to users of the platform.

Wheree may offer optional paid promotional services designed to increase the visibility or exposure of a business on the platform.

Participation in such promotional services is voluntary and may be subject to additional terms, pricing, or service conditions communicated by Wheree.

4.3 Independence of Organic Ranking

Organic search results and rankings on the platform are determined by multiple factors, including relevance, user engagement, and other platform criteria.

Participation in paid promotional services does not directly influence or alter the organic ranking of a business listing.

4.4 Promotional Visibility

Paid promotion services may allow businesses to obtain additional visibility in the platform, such as through featured placements, highlighted listings, or other promotional formats.

Such promotional placements may be identified as sponsored or promotional content where applicable.

4.5 No Guarantee of Performance

Wheree does not guarantee any specific results, ranking positions, visibility levels, user engagement, or commercial outcome from the use of promotional services.

Review and User Content

5.1 User-Generated Content

The Wheree platform may allow users to submit content related to businesses, including reviews, ratings, comments, photos, or other materials ("User Content").

User Content may be publicly displayed on the platform.

5.2 Responsibility for User Content

User Content is provided by users and does not necessarily reflect the views or opinions of Wheree.

Reviews and ratings represent the opinions of individual users and may not reflect the experiences of other users.

Wheree does not verify, endorse, or guarantee the accuracy, reliability, or completeness of User Content.

5.3 Business Interaction with Reviews

Businesses may have the ability to respond to reviews or other User Content associated with their listing.

Businesses must ensure any responses or interactions conducted through the platform comply with these Terms and applicable laws.

5.4 Platform Moderation

Wheree may review User Content through automated systems or manual moderation before or after it is published on the platform in order to identify content that violates these Terms, applicable policies, or applicable laws.

Wheree reserves the right, but is not obligated, to remove, restrict, or otherwise moderate User Content that is misleading, abusive, fraudulent, spam, fake review, unlawful, or otherwise inappropriate for the platform.

5.5 Platform Neutrality

Wheree acts as a platform that hosts User Content and does not assume responsibility for the accuracy, reliability, or completeness of such content.

Wheree may moderate User Content in accordance with these Terms and applicable policies, including removing or restricting content that violates platform rules.

However, Wheree does not act as a mediator or decision-maker in disputes between businesses and users regarding reviews, ratings, or underlying service experiences. Such disputes are the responsibility of the relevant parties.

Prohibited Activities

6.1 General Prohibition

Businesses must not use the Wheree platform in any manner that violates applicable laws, these Terms, or applicable platform policies.

6.2 Misrepresentation and Impersonation

Businesses must not provide false, misleading, or inaccurate information about their business or impersonate another business, organization, or individual.

6.3 Manipulation of Reviews or Platform Features

Businesses must not attempt to manipulate reviews, ratings, rankings, or other platform features.

This includes, but is not limited to, soliciting fake reviews, offering incentives in exchange for reviews, or engaging in any activity intended to artificially influence user feedback or platform visibility.

6.4 Abuse of the Platform

Businesses must not engage in activities that interfere with or disrupt the operation of the platform, including unauthorized data scraping, automated access, spam, or other abusive behaviour.

6.5 Enforcement

Wheree reserves the right to investigate suspected violations of these Terms and to take appropriate action, including removing content, restricting listing, suspending accounts, or terminating access to the platform.

Intellectual Property

7.1 Platform Intellectual Property

The Wheree platform, including its software, design, trademarks, logos, and other proprietary materials, is owned by or licensed to Wheree and is protected by applicable intellectual property laws.

Businesses may not copy, reproduce, distribute, modify, or create derivative works from any part of the platform without prior written permission from Wheree.

7.2 Business Content

Businesses may submit or upload content to the platform in connection with their business listings, including business descriptions, images, logos, and other materials ("Business Content").

Businesses represent and warrant that they own or have the necessary rights to use and publish such Business Content.

7.3 License to Use Business Content

By submitting or publishing Business Content on the platform, businesses grant Wheree a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute such content for the purpose of operating, promoting, and improving the platform.

7.4 Removal of Content

Wheree may remove or restrict access to any content that violates these Terms, applicable policies, or applicable laws.

Account Suspension, Enforcement and Appeals

8.1 Enforcement Actions

Wheree may investigate suspected violations of these Terms or applicable platform policies.

Wheree reserves the right to take appropriate enforcement actions, including removing content, restricting listings, suspending business accounts, or terminating access to the platform.

8.2 Grounds for Suspension or Restriction

Wheree may suspend, restrict, or remove a business account or listing where:

  • Information associated with the account or listing is false, misleading, or unverifiable;
  • The business violates these Terms or applicable policies;
  • The platform detects abusive, fraudulent, or manipulative activity; or
  • Such action is necessary to comply with applicable laws or protect the integrity of the platform.

8.3 Appeals

Businesses may submit a request for review if they believe that an enforcement action has been taken in error.

Wheree may request additional information or documentation in connection with an appeal.

8.4 Final Decision

Wheree will review appeals in good faith; however, Wheree reserves the right to make the final decision regarding enforcement actions on the platform.

Disclaimer of Warranties

9.1 Platform Provided "As Is"

The Wheree platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Wheree makes no warranties, representations, or guarantees regarding the availability, reliability, or functionality of the platform.

9.2 No Guarantee of Business Information

Wheree does not guarantee the accuracy, completeness, or reliability of any information, reviews, ratings, or other content displayed on the platform.

Businesses and users are responsible for evaluating the information available on the platform.

9.3 No Guarantee of Platform Availability

Wheree does not guarantee the platform will be uninterrupted, error-free, secure, or continuously available.

Wheree may modify, suspend, or discontinue any part of the platform at any time without prior notice.

Limitation of Liability

10.1 Limitation of Liability

To the fullest extent permitted by applicable law, Wheree shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of the platform.

10.2 Business Interactions

Wheree is not responsible for any transactions, interactions, or disputes between businesses and users arising from the use of the platform.

10.3 Platform Content and Availability

Wheree shall not be liable for any loss or damage resulting from reliance on information, reviews, ratings, or other content available on the platform, or from interruptions or unavailability of the platform.

Governing Law and Dispute Resolution

11.1 Governing Law (Singapore)

These Terms and any dispute arising out of or relating to the use of the Wheree platform shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes, controversy, or claim arising out of or in connection with these Terms or the use of the platform shall first be resolved through good faith discussion between the parties.

If the dispute cannot be resolved through such discussions, the dispute shall be submitted to the competent courts of SINGAPORE.

Changes to Terms

12.1 Updates to the Terms

Wheree may update or modify these Terms from time to time to reflect changes to the platform, applicable laws, or operational requirements.

12.2 Continued Use of the Platform

Wheree will make reasonable efforts to notify businesses of material updates to these Terms.

Continued use of the platform after the updated Terms become effective constitutes acceptance of the revised Terms.
